Objectives

1. Knowledge and understanding: The course aims to introduce students to understanding principles and rules of italian commercial law, with regard to several interests involved in economic activities. In particular, students will acquire knowledge of: different forms of business organizations, principal commercial agreements, typical instruments and rules of insolvency law.

2. Applying knowledge and understanding: by analysis and discussion of cases and materials proposed during the course, student shall be able to apply rules to singol simple cases.

3. Making judgments: at the end of the course, student will develop an autonomous ability to analyse and appraise positive law’s provisions and their rationes with regard to the interests involved.

4. Communication skills: the course aims to stimolate, also by discussion of cases and materials proposed, the communication skills of student with regard to commercial law’s provisions.

5. Learning skills: during the course student will be trained, by tests of self-evaluation, to acquire an invidual metod of study, that permit to self-evaluated his/her knowledge and understanding for the final exam.

Prerequisites

The exam of “Institution of private law” is preparatory to exam of commercial law.

Contents

1. Enterprise and different types of entrepreneur.
2. Business assets and their transfer.
3. Consortia and other forms of cooperation between enterprises.
4. Unfair competition’s rules
5. Principles and rules about credit documents.
6. Enterprise's contracts.
7. Companies: types, rules, liquidation and extraordinary operations
8. Business crisis: insolvency proceedings and negotiated solutions with creditors

Teaching Methods

60 hours of classroom-taught lessons, 12 hours of case-law approach.
Lessons will be held live, but will also be accessible on line.
At the beginning of semester, students must choose whether to attend lessons in person or online. The choice cannot be changed for all semester.
Depending on the number of students who choose to attend in person, shifts may be introduced to ensure social distancing.

Verification of learning

Verification of learning will take place through an oral exam that aims to verify the student's knowledge of the main features of commercial law institutes and their discipline.
The exam score is graduated in a scale from 18 to 30. The final vote takes into account:
a) knowledge of the institutes and their discipline;
b) ability to connect topics;
c) skill to expose topics in a clear and reasonable manner.

For attending students only, a mid-term evaluation test can take place in written or oral form, also through IT media or remotely depending on the situation.
The mid-term test will cover the first part of the program (enterprise, business asset, consortia, unfair competition and, optionally, credit documents).

The student's assessment ends with a final test in oral form on the remaining part of the program.
The vote will be expressed in a scale from 18 to 30 and takes into account:
a) knowledge and communication skills;
b) results of the mid-term test;
c) active attendance of lessons and seminars.
